Company's Dividend Payment Policy

The Company’s Board of Directors may consider paying annual dividends, subject to approval by the shareholders’ meeting, unless it is an interim dividend, which the Board of Directors has the authority to approve on a case-by-case basis when it deems that the Company has sufficient profits to do so, and will report this to the shareholders at the next meeting.

The Company has a dividend payment policy to distribute no less than 30% of the net profit from the separate financial statements, after tax and reserves as required by law and the Company’s regulations. The Company must not have accumulated losses. The Board of Directors will consider the dividend payment based on various factors for the benefit of the shareholders, such as the economic conditions, the Company’s performance and financial position, the cash flow, investment plans for the year, the need for funds to expand the business, reserve funds for loan repayments, or working capital within the Company, as well as conditions and restrictions specified in loan agreements. The dividend payment will not have a significant impact on the Company’s normal operations, as deemed necessary, appropriate, and in consideration of other factors that the Board of Directors finds relevant.

Dividend Payment Policy of Subsidiary Company

The Board of Directors of the subsidiary company may consider paying annual dividends, subject to approval by the shareholders’ meeting of the subsidiary company, unless it is an interim dividend, which the Board of Directors of the subsidiary has the authority to approve on a case-by-case basis when it deems that the subsidiary company has sufficient profits to do so, and will report this to the shareholders’ meeting of the subsidiary at the next meeting.

The subsidiary company has a dividend payment policy to distribute no less than 30% of the net profit from the separate financial statements, after tax and reserves as required by law and the regulations of the Company. The subsidiary must not have accumulated losses.
